These Terms and Conditions (“Terms”) govern access to and use of the SayRoll mobile applications, web dashboard, APIs, and related services (collectively, the “Services”), operated by SayRoll (“SayRoll”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you may not use the Services.


1. Eligibility & Authorized Use

SayRoll is intended exclusively for:

  • Authorized personnel of airlines, airports, ground handling companies, logistics providers, and enterprise clients
  • Users who are 18 years of age or older

You represent and warrant that:

  • You are authorized by your employer or contracting entity
  • You will use the Services only for legitimate operational purposes
  • All information provided is accurate and up to date

2. Description of the Services

SayRoll provides a digital operational platform that includes:

  • Task assignment and execution (Runner App)
  • Supervision, monitoring, and coordination (Supervisor App)
  • Operational dashboards, analytics, and reporting (Web Dashboard)

The Services are designed to support airport and airline ground operations, not payroll, HR, or financial processing.


3. Account Registration & Security

To access certain features, users must create an account.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity conducted under your account
  • Immediately notifying SayRoll of unauthorized access or security breaches

SayRoll is not responsible for losses caused by compromised credentials due to user negligence.


4. Offline Functionality

SayRoll supports offline operation.

Users acknowledge that:

  • Data may be temporarily stored locally on the device
  • Synchronization occurs automatically when connectivity is restored
  • Users must not manipulate or tamper with locally stored data

5. Acceptable Use Policy

You agree not to:

  • Use the Services for unlawful, fraudulent, or unauthorized purposes
  • Reverse engineer, decompile, or tamper with the platform
  • Interfere with system security, integrity, or availability
  • Upload false, misleading, or manipulated operational data
  • Use SayRoll outside the scope authorized by your organization

Violation may result in immediate suspension or termination.


6. Intellectual Property

All content, software, interfaces, designs, logos, and technology are the exclusive property of SayRoll or its licensors.

No rights are granted except for a limited, non-exclusive, non-transferable license to use the Services as intended.


7. Data Ownership

  • Operational data generated through the platform belongs to the enterprise client
  • SayRoll retains rights to anonymized and aggregated data for analytics, improvement, and benchmarking
  • Users have no ownership rights over the platform or its technology

8. Third-Party Integrations

SayRoll may integrate with third-party systems.

SayRoll is not responsible for:

  • Availability or performance of third-party services
  • Data handling outside the SayRoll platform
  • Failures caused by external systems

9. Service Availability

While SayRoll strives for high availability:

  • Services are provided “as is” and “as available”
  • Downtime may occur due to maintenance, upgrades, or force majeure
  • SayRoll does not guarantee uninterrupted or error-free operation

10. Support & Maintenance

Support availability and response times depend on:

  • The client’s service agreement
  • Severity and operational impact of the issue

SayRoll reserves the right to prioritize incidents affecting safety or critical operations.


11. Fees & Payments (If Applicable)

Pricing, billing terms, and payment obligations are governed by:

  • Separate commercial agreements with enterprise clients
  • Not these Terms, unless explicitly stated

12. Termination

SayRoll may suspend or terminate access:

  • For violation of these Terms
  • For security or operational risks
  • At the request of the contracting organization
  • Upon termination of a commercial agreement

Upon termination:

  • Access credentials are revoked
  • Stored data is handled according to the Privacy Policy and contractual obligations

13. Disclaimers

To the maximum extent permitted by law:

  • SayRoll disclaims all warranties, express or implied
  • SayRoll does not guarantee specific operational outcomes
  • The Services do not replace human judgment or regulatory compliance obligations

14. Limitation of Liability

In no event shall SayRoll be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business operations
  • Operational delays caused by user error or third-party systems

Total liability shall not exceed amounts paid under the applicable agreement, if any.


15. Indemnification

You agree to indemnify and hold harmless SayRoll from claims arising from:

  • Misuse of the Services
  • Violation of these Terms
  • Breach of laws or third-party rights

16. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Any dispute shall be resolved exclusively in the courts located in Florida, USA.


17. Changes to These Terms

SayRoll may update these Terms at any time.

Continued use of the Services constitutes acceptance of the updated Terms.
